Welcome to Assembly Pros. Please read these Terms of Service ("Terms") carefully before using the assemblypros.com website (the "Platform"). The Platform is owned and operated by Niche Leads, LLC ("Company", "we", "us", "our"), a Kentucky limited liability company. By accessing or using the Platform, or by submitting a booking request, you ("Customer", "you", "your") agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

1. Overview of the Platform

Assembly Pros is an online marketplace that connects customers who need assembly and installation services with independent, third-party service professionals ("Service Providers"). The Platform allows you to browse services, view pricing, schedule appointments, and process payments.

Niche Leads, LLC does not perform any on-site assembly, installation, or other physical services. We are a technology and lead-matching platform only. All on-site work is performed exclusively by independent Service Providers who use the Platform to receive and manage customer bookings.

2. Relationship of the Parties

Service Providers are independent businesses. They are not employees, agents, joint venturers, partners, or subcontractors of Niche Leads, LLC. We do not supervise, direct, or control the manner or method by which Service Providers perform their work.

When you submit a booking through the Platform, you are entering into a direct service agreement with the Service Provider assigned to your area. Niche Leads, LLC is not a party to that agreement. Your use of the Platform does not create an employment, agency, or partnership relationship between you and Niche Leads, LLC.

3. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

4. Account and Booking

You may be required to provide personal information such as your name, email address, phone number, service address, and payment details in order to submit a booking. You agree to provide accurate, current, and complete information and to update it as necessary.

When you submit a booking, you select three preferred arrival windows. The Service Provider confirms one of those windows, typically within a few hours. If none of your selected windows are available, the Service Provider or our team will contact you to arrange an alternative. A confirmed booking represents a commitment between you and the Service Provider.

5. Pricing and Payment

Prices displayed on the Platform are flat-rate prices in U.S. dollars. The price shown at checkout is the price you pay unless additional services are requested on site. Some service areas may include a travel fee, which is disclosed before you complete your booking.

Payments are processed through Stripe, a third-party payment processor, on behalf of the Service Provider. The Service Provider is the merchant of record. Your credit card or debit card statement will display the Service Provider's business name, not Assembly Pros or Niche Leads, LLC.

Payment is typically collected after the service is completed. In some cases, a deposit may be collected at the time of booking. By providing your payment information, you authorize the charge of the agreed-upon amount through the Platform's payment processor.

Refund and chargeback requests related to completed services should be directed to the Service Provider, as they are the merchant of record. Niche Leads, LLC may assist in facilitating communication but is not responsible for issuing refunds for services performed by Service Providers.

6. Cancellation and Rescheduling

You may cancel or reschedule a booking at no charge up to 24 hours before your confirmed arrival window. Cancellations made less than 24 hours before the appointment may be subject to a cancellation fee. Service Providers may also cancel or reschedule due to weather, safety concerns, illness, or other circumstances.

If items are missing parts, damaged, or not at the service location, the Service Provider may not be able to complete the work. Additional visits may be required and may incur additional charges.

8. Service Provider Obligations

Service Providers who use the Platform agree to maintain appropriate business licenses, insurance, and qualifications. However, Niche Leads, LLC does not independently verify or guarantee the credentials, insurance status, or licensing of any Service Provider on an ongoing basis. We encourage you to ask your Service Provider about their qualifications if you have questions.

9. No Warranty on Services Performed

Niche Leads, LLC makes no warranties, express or implied, regarding the quality, safety, timeliness, or outcome of any services performed by Service Providers. Any warranty or guarantee on workmanship is between you and the Service Provider. We do not inspect, supervise, or approve completed work.

The Platform is provided on an "as is" and "as available" basis. We make no warranties that the Platform will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Niche Leads, LLC, its officers, directors, members, employees, and affiliates shall not be liable for:

In no event shall Niche Leads, LLC's total aggregate liability to you for all claims arising out of or related to your use of the Platform exceed one hundred dollars ($100.00) or the amount of platform fees paid by you in the twelve (12) months preceding the claim, whichever is greater.

11. Assumption of Risk

You acknowledge and agree that the use of any service booked through the Platform involves inherent risks, including but not limited to property damage, product defects, and personal injury. You voluntarily assume all such risks. You agree that Niche Leads, LLC is not responsible for the actions or inactions of any Service Provider, and that your sole remedy for any issue with completed work is against the Service Provider directly.

12. Indemnification

You agree to indemnify, defend, and hold harmless Niche Leads, LLC, its officers, directors, members, employees, and affiliates from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

13. Dispute Resolution

If you have a concern about the quality of work performed, we encourage you to contact us. We will make commercially reasonable efforts to facilitate communication between you and the Service Provider. However, Niche Leads, LLC is not obligated to mediate, arbitrate, or resolve disputes between customers and Service Providers.

Any dispute arising from these Terms or your use of the Platform (not involving on-site services) shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, conducted in the Commonwealth of Kentucky. You agree to waive any right to a jury trial or to participate in a class action.

14. Communications

By providing your phone number and email address, you consent to receive booking confirmations, appointment reminders, and service-related communications from Assembly Pros and your assigned Service Provider via email, SMS, or phone. You may opt out of promotional messages at any time, but you may not opt out of transactional messages related to active bookings.

15. Intellectual Property

All content on the Platform, including text, graphics, logos, images, software, and design, is the property of Niche Leads, LLC or its licensors and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any content on the Platform without our prior written consent.

"Assembly Pros" and the Assembly Pros logo are trademarks of Niche Leads, LLC. You may not use these marks without our written permission.

16. User Content

If you submit reviews, photos, or other content through the Platform, you grant Niche Leads, LLC a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, display, reproduce, and distribute that content in connection with the Platform and our marketing. You represent that you own or have the right to submit any content you provide.

The Platform may contain links to third-party websites or services. We do not control and are not responsible for the content, privacy practices, or availability of those sites. Your use of third-party services is at your own risk and subject to their terms.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. If we make material changes, we may notify you by email or by posting a notice on the Platform.

20. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including limitation of liability, indemnification, and dispute resolution) will remain in effect.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Niche Leads, LLC regarding your use of the Platform, and supersede all prior agreements, understandings, and communications.

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles.
